These Terms of Service ("Terms") govern your use of Klivr AI's website and services. By accessing our website or engaging our services, you agree to these Terms.
1. Services
Klivr AI provides AI-powered receptionist services for dental clinics, including:
- AI voice receptionist (Aria) for answering phone calls 24/7
- AI chatbot for website-based appointment booking
- Calendar integration and CRM logging workflows
- Custom landing pages and related automation services
2. Client Responsibilities
As a client using Klivr AI services, you agree to:
- Provide accurate information about your clinic and calendar systems during onboarding.
- Notify us promptly of any changes to your calendar, operating hours, or appointment types.
- Ensure your use of our services complies with applicable laws, including patient privacy regulations (HIPAA where applicable).
- Not use our services for any unlawful or fraudulent purpose.
3. Fees and Payment
Our services are offered at the pricing outlined on our website at the time of purchase. This includes:
- A one-time setup fee paid before build commencement.
- A monthly retainer fee billed on a recurring basis.
- Usage-based charges (where applicable) passed through at cost plus our stated margin.
Failure to pay monthly retainer fees may result in suspension of services. We will provide reasonable notice before any service interruption.
4. Refund Policy
Setup fees are non-refundable once build work has commenced. Monthly retainer fees are non-refundable for the current billing period but you may cancel future billing at any time with 14 days' written notice.
5. Service Availability
We aim to provide reliable, continuous service but do not guarantee 100% uptime. Downtime may occur due to third-party infrastructure (Retell AI, Botpress, Railway, Twilio, Google) or scheduled maintenance. We are not liable for losses resulting from service interruptions beyond our control.
6. Limitations of Liability
Klivr AI is a technology service provider. We are not responsible for:
- Missed appointments or lost revenue resulting from patient decisions.
- Errors in information provided by patients during AI interactions.
- Third-party service outages (Retell AI, Google, Twilio, etc.).
- Any indirect, incidental, or consequential damages arising from use of our services.
Our total liability to any client shall not exceed the fees paid in the three months preceding any claim.
7. Intellectual Property
All AI systems, workflows, and code built by Klivr AI remain the intellectual property of Klivr AI. Clients receive a license to use the deployed system for their clinic. Custom call scripts and branding configurations created for your clinic are yours to keep.
8. Confidentiality
Both parties agree to keep confidential any non-public information shared during the course of the engagement, including clinic operational details and patient data.
9. Termination
Either party may terminate services with 14 days' written notice. Upon termination, we will provide you with your data and configurations in a reasonable format.
10. Governing Law
These Terms are governed by the laws of the Republic of the Philippines. Any disputes shall be resolved through good-faith negotiation before pursuing formal legal remedies.
11. Changes to Terms
We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms.
